Job Description:
Every transaction-merger, acquisition, joint venture, disposition or strategic alliance-has a unique set of due diligence, planning and structuring requirements. The exhaustive list of activities includes identifying risks, minimizing tax liabilities, enhancing post-transaction earnings and after-tax cash flows, achieving synergies, implementing cost-saving measures and maximizing proceeds from divestitures or exit strategies.
Our process takes into account all aspects of the deal necessary for success. From developing an appropriate strategy through successful integration, our flexible framework wraps around the key elements, drivers and intricacies of each deal. Our service encompasses six critically important elements:
* Focused and comprehensive business and financial due diligence
* Valuation and Pricing
* Financial Modelling and Analysis
* Co-ordination of accounting and tax structuring
* Post-transaction accounting and tax services; and
* Merger integration
Job Requirements:
Candidates will be expected to spend a significant portion of their time engaged in Business Development activities, focusing on growing this practice opportunity. The successful candidate will exhibit a strong work ethic, ability to develop this line to its full potential, and comfort in working within a collaborative team environment. The candidate should also have an interest and experience in mentoring and coaching team members.
Specific assignment tasks include:
* Quickly developing an understanding of the target business and its drivers
* Interpretation and analysis of information memoranda, business plans, publicly available information on target business
* Review and analysis of historical trading, cash flow and balance sheets, projects and underlying assumptions
* Review of the adequacy of working capital facilities, including consideration of financing limits, terms and covenants
* Evaluation of potential synergies
* Reporting of potential key issues for our clients including identification of risk or price affecting considerations
* Review of sale and purchase agreements and correlating findings of the due diligence process therein
* Review of financial structures and associated credit agreements.
The successful candidate will hold:
* 5+ years transaction services experience in a Professional practice having performed at least 20-25 due diligence assignments
* Strong interpersonal, analytical and communication skills (verbal and written)
* Strong risk management and project management skills
* Experience dealing at CEO level
* Resourcefulness, self-motivation and initiative
* Depth of experience across a wide range of sectors is preferred
* CA designation
* Business skills and entrepreneurial spirit
* At ease in developing business
